1. These terms
This website is operated by Intelibank, Inc., doing business as Conductia (“Conductia”, “we”, “us”). By using it, you agree to these terms. If you are using the site on behalf of a firm, you confirm that you are authorized to accept these terms for that firm. If you do not agree, do not use the site.
2. What this site is
This site describes Conductia and what we are building. It is general business information for professionals evaluating technology for investment banking workflows. It is not a product manual, a specification, or a description of everything the platform does or will do.
3. No advice, and no relationship created
Nothing on this site is investment, legal, tax, accounting, regulatory or compliance advice, and nothing on it should be relied on as such. Conductia is a technology provider. It is not a broker-dealer, an investment adviser, a law firm or an accounting firm. Nothing on this site is an offer to sell, or a solicitation of an offer to buy, any security.
Any description on this site of how the software is designed to be configured is not a determination that any firm satisfies any rule. Each customer firm configures its own controls and determines its own regulatory obligations.
Using this site, submitting the contact form or accessing any evaluation environment does not create a customer, advisory, agency or fiduciary relationship, and does not constitute an offer, a commitment to provide services, or acceptance of any offer.
4. Statements about the product
Some statements on this site describe capabilities that are designed, in development, or planned rather than generally available. Product plans change. Nothing here is a warranty, a guarantee of future availability, or a contractual commitment. Contractual commitments are made only in a signed written agreement.
5. Restricted areas
Evaluation environments are separate from this website and are made available by invitation on a named basis. If you have been given credentials, they are personal to you. Do not share them, do not attempt to access any environment you have not been authorized to use, and do not attempt to circumvent any access control.
Unless we tell you otherwise in writing when access is provisioned, material in an evaluation environment is illustrative sample content provided for discussion and does not depict any actual client, transaction or party. In every case it is confidential, it is not for distribution, and you must treat it as you would client material under your firm’s own policies.
6. Acceptable use
You agree not to use this site to break the law or infringe anyone’s rights, and not to interfere with the site or the systems behind it. In particular, do not attempt to probe or test the site’s security, introduce malicious code, scrape or harvest content or contact details at scale, use automated means to place load on the site, or misrepresent who you are when submitting the form. If you believe you have found a security issue, tell us at info@conductia.com rather than testing it.
7. Information you submit
Do not submit client names, deal details, material non-public information, personal data about others, or any other confidential information through this site. Anything you do submit is handled as described in our Privacy Policy. Unsolicited ideas or suggestions you send us may be used without restriction or obligation.
8. Intellectual property
The content, design, text, graphics and marks on this site belong to Conductia or its licensors and are protected by intellectual property laws. You may view the site and print or download extracts for your own internal evaluation. You may not otherwise copy, republish, adapt or commercially exploit any part of it without our written permission. “Conductia” and the Conductia logo are our marks; other names may be the marks of their owners, and referring to them does not imply any endorsement or affiliation.
9. Third-party links and references
Where we link to or refer to third-party sites, products or services, we do so for information only. We do not control them, we do not endorse them, and we are not responsible for their content or practices.
10. Availability
We may change, suspend or withdraw this site or any part of it at any time and without notice. We do not promise that the site will be uninterrupted or error-free.
11. Disclaimer
To the fullest extent permitted by law, this site and its content are provided “as is” and “as available”, without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy or completeness of content.
12. Limitation of liability
To the fullest extent permitted by law, Conductia will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, business, goodwill or data, arising out of or in connection with your use of this site, whether in contract, tort or otherwise. To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with this site will not exceed one hundred US dollars. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.
13. Governing law
These terms, and any dispute arising out of or in connection with them or this site, are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, and you consent to that jurisdiction and venue, except that we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property or the security of this site.
14. General
If any provision of these terms is held to be unenforceable, the remaining provisions continue in effect. Our failure to enforce a provision is not a waiver of it. These terms are the entire agreement between you and us about your use of this site; they do not vary any signed written agreement between your firm and us, which governs in the event of a conflict. We may assign these terms to a successor to our business; you may not assign them.
15. Changes to these terms
We may update these terms. The date at the top of this page shows when they were last changed. Continued use of the site after a change means you accept the updated terms.
